1. The Service
These Terms of Service and End-User License Agreement (“Terms”) govern access to and use of Third Chair Legal, cloud-based legal practice-management software operated by Nexunity, LLC (“Nexunity,” “we,” “us,” or “our”). By accessing or using the service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
Potential functionality includes case and client or contact management, documents, workflows, communications, calendaring, time tracking, financial reporting, accounting integrations, attorney compensation, settlement management, and AI-assisted features. Features may vary by subscription, module, permissions, configuration, and enabled integrations.
2. Account Registration and Security
Users must provide accurate registration information, keep credentials confidential, use reasonable safeguards, and promptly report suspected unauthorized access. Customers are responsible for identifying authorized users, configuring permissions, and activity occurring through their accounts except to the extent caused by Nexunity's breach of these Terms.
3. License to Use Third Chair Legal
Subject to these Terms, applicable order documents, and payment of fees, Nexunity grants the customer a limited, non-exclusive, non-transferable, revocable right during the subscription term for authorized users to access and use Third Chair Legal solely for the customer's internal business purposes.
4. Restrictions
Users may not resell, sublicense, or commercially distribute the service; copy it except as expressly permitted; reverse engineer or attempt to derive source code where applicable law permits that restriction; bypass security or access controls; access another organization's data; introduce malware; interfere with service operation; conduct unauthorized security testing; or use the service unlawfully or to violate another person's rights.
5. Customer Data
As between the parties, the customer retains its rights in information, content, and materials submitted to or processed through the service (“Customer Data”). The customer authorizes Nexunity to host, process, reproduce, transmit, and otherwise use Customer Data as reasonably necessary to provide, secure, maintain, support, and improve the service consistent with the Privacy Policy and customer instructions.
6. Confidential and Legal Information
Customers and users remain responsible for their professional obligations, confidentiality duties, ethical requirements, legal compliance, access configuration, supervision, and record-retention decisions. The service does not determine whether particular information may lawfully be stored, communicated, disclosed, or used in a matter.
7. QuickBooks Online and Other Third-Party Integrations
Third Chair Legal may connect to QuickBooks Online and other third-party services. When an authorized customer enables an integration, Third Chair Legal may access, receive, create, update, synchronize, and process information required for the selected functionality.
For QuickBooks Online, this may include customers or clients, accounts, vendors, expenses, case costs, financial transactions, and other authorized accounting information. Integration behavior depends on customer authorization, configuration, and supported features.
Third-party services are independently operated. Nexunity does not control or guarantee their availability, security, accuracy, or performance. Customers may disconnect supported integrations, although previously synchronized information may remain subject to retention requirements and customer settings.
8. Artificial Intelligence Features
AI-assisted features may produce summaries, drafts, chronologies, extractions, suggestions, or other output based on authorized information. AI output may contain inaccuracies, omissions, or unsuitable content. Qualified users must review and independently verify output before use. AI functionality is not legal advice and does not replace attorneys, professional judgment, or required review.
9. No Legal Advice
Third Chair Legal is software. Nexunity is not a law firm and does not provide legal advice or legal representation. Use of the service does not establish an attorney-client relationship with Nexunity.
10. Fees, Subscriptions, and Billing
Fees, subscription terms, enabled modules, user limits, billing frequency, and renewal terms will be described in the applicable order or subscription documentation. Unless stated otherwise, fees are due as invoiced and are non-refundable except where required by law or expressly provided in writing.
11. Third-Party Fees
Customers are responsible for fees charged by third parties, including accounting, communications, storage, payment, calendar, or other integrated services, unless an applicable order expressly states otherwise.
12. Availability and Changes
We may maintain, update, modify, suspend, replace, or discontinue features to improve the service, address security or legal needs, or respond to third-party changes. We do not promise uninterrupted or error-free availability or a specific uptime level unless stated in a separate written service commitment.
13. Data Backups and Exports
We may use backup and recovery processes appropriate to the services supporting Third Chair Legal. Customers remain responsible for their own legal and professional record-retention obligations and for exporting information when available and appropriate to their needs.
14. Suspension and Termination
We may suspend or terminate access for material breach, nonpayment, security risk, unlawful activity, harm to the service or others, or as required by law. Upon termination, license rights end. Data access, export, deletion, and retention will be handled according to applicable agreements, the Privacy Policy, legal obligations, and reasonable operational requirements.
15. Intellectual Property
Nexunity and its licensors retain all rights in Third Chair Legal, including software, designs, documentation, trademarks, and improvements, excluding Customer Data. No rights are granted except the limited license expressly stated in these Terms.
16. Feedback
If a user provides suggestions or feedback, Nexunity may use it without restriction or obligation, provided that doing so does not grant Nexunity ownership of Customer Data or permit disclosure of confidential information contrary to applicable obligations.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THIRD CHAIR LEGAL AND RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEXUNITY DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NEXUNITY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR EVERY LEGAL, PROFESSIONAL, OR REGULATORY REQUIREMENT.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUNITY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUNITY'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO NEXUNITY FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.
19. Indemnification
To the extent permitted by law, the customer will defend, indemnify, and hold harmless Nexunity and its personnel from third-party claims arising from Customer Data, the customer's or its users' unlawful use of the service, violation of these Terms, or infringement of another person's rights, except to the extent caused by Nexunity.
20. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise. Any required venue or dispute procedure may be further described in an applicable written agreement.
21. Changes to These Terms
We may update these Terms from time to time. Revised Terms will be posted with an updated effective date, and additional notice will be provided when required. Continued use after an update becomes effective constitutes acceptance where permitted by law.
